Terms of Service

Effective from

These terms govern access to and use of the GridWiseNow platform. They are written for business customers. If your organisation has signed a separate agreement with us, that agreement prevails and these terms apply only to matters it does not cover.

1. Who provides the service

GridWiseNow is provided by Genaitive sp. z o.o., ul. Żurawia 71, 15-540 Białystok, NIP 9662207839, KRS 0001179479. You can reach us at contact@gridwisenow.com.

2. What the service is

GridWiseNow presents analysis, forecasts and alerts based on electricity measurement data from your organisation's sites, together with publicly available market and grid information.

The platform is offered to organisations conducting business activity. It is not directed at consumers, and consumer withdrawal rights do not apply.

3. Accounts and access

  • Accounts are created by an administrator of your organisation or by us at its request. There is no public self-service registration.
  • You are responsible for keeping your credentials confidential and for activity carried out under your account.
  • Your administrator decides your role and which sites you can see, and can change or revoke that access at any time.
  • Tell us promptly at contact@gridwisenow.com if you believe an account has been compromised.

4. Acceptable use

You agree not to:

  • attempt to access data belonging to another organisation, or to circumvent access controls;
  • probe, scan or load-test the platform without our written agreement;
  • resell, sublicense or make the platform available to a third party unless your agreement with us permits it;
  • submit data you are not entitled to submit, or use the platform in breach of applicable law;
  • extract data by automated means beyond the interfaces we provide.

We may suspend access without notice where continued access would cause harm to the platform, to other customers or to us, and will tell you why as soon as we reasonably can.

5. Your data

Measurement data and other content your organisation puts into the platform remain yours. We process them to provide the service, to keep it secure and to improve its reliability, and for no other purpose.

Personal data is handled as described in our Privacy Policy. Where we process personal data on your organisation's behalf, we do so as a processor under a data processing agreement.

On termination you may request an export of your data. We will provide it in a machine-readable format within a reasonable period, after which the data is deleted.

6. Third-party information

The platform shows market, grid and weather information originating from third parties. We present it as received and do not control its accuracy, completeness or timeliness.

Some of it is forecast rather than measurement, and it may be revised or withdrawn by its publisher. It is provided for information only. It is not investment, trading or legal advice, and it must not be the sole basis for a commercial decision.

7. Availability and support

We aim to keep the platform available and to correct faults promptly, but these terms contain no uptime commitment. Any service level, response time or support window applies only if it is stated in a separate signed agreement with your organisation.

The service depends on components and third parties we do not control. Interruptions originating there are outside our control.

We may change or discontinue features. Where a change materially reduces functionality your organisation relies on, we will give reasonable advance notice.

8. Fees

Fees, billing periods and any optional modules are set out in your organisation's agreement or order form. Amounts are net of VAT unless stated otherwise, and VAT is added at the applicable rate.

9. Liability

Nothing in these terms excludes liability that cannot be excluded under Polish law, including liability for damage caused intentionally.

Subject to that, we are not liable for lost profits, lost savings, loss of business or indirect damage, and our total liability arising from the service is limited to the fees paid by your organisation for the twelve months preceding the event giving rise to the claim.

In particular we are not liable for decisions taken on the basis of forecasts, baselines or third-party market information presented by the platform.

10. Term and termination

These terms apply for as long as your organisation has access to the platform. Either party may terminate in accordance with the signed agreement; where there is none, either party may terminate on thirty days' written notice.

We may terminate immediately for a material breach that is not remedied within fourteen days of notice, or immediately where the breach cannot be remedied.

11. Changes to these terms

We may update these terms. The effective date above always reflects the current version, and we will notify your organisation of material changes through the platform or by e-mail before they take effect.

12. Governing law and disputes

These terms are governed by Polish law. Disputes that cannot be resolved amicably are subject to the courts having jurisdiction over the provider's registered office.
